L'assunzione di partecipazioni in altre imprese tra questioni di competenza e problemi di responsabilità

The recent developments in case law that have specifically concerned the acquisition by corporations of participations in other companies through the transfer of business bring up to date the investigation as to the definition of the applicative scope of Article 2361 of the Civil Code, in the text supplemented by Law 238/2021. The norm lends itself to an ambivalent reading: the combination of the precepts derivable from the synergy of the two provisions contained therein offers rules of conduct as much as of competence, placing the interpreter with the task of qualifying the legal effects deriving from their respective breaches.

La recente evoluzione giurisprudenziale che ha riguardato, specificamente, l’assunzione di partecipazioni in altre imprese tramite atti dispositivi dell’azienda attualizza l’indagine in ordine alla definizione del perimetro applicativo dell’art. 2361 c.c., nel testo integrato dalla l. 238/2021, prestandosi ad una lettura ambivalente: la coniugazione dei precetti ricavabili dalla sinergia delle due disposizioni ivi contenute offre regole tanto di comportamento quanto di competenza, ponendo all’interprete il compito di qualificare gli effetti giuridici derivanti dalle loro rispettive violazioni.
