The outbreak of the Covid-19 pandemic has disrupted the circumstances under which many commercial lease agreements have been designed. To prevent a widespread market crisis, many legal scholars suggest the adoption of ‘conservative’ remedies for hardship, aiming to avoid contract breach or termination. The Author examines the application of those remedies in Italian case law. Furthermore, he points out how to apply the principle of good faith in contract law to establish a duty to renegotiate commercial lease agreements. Instead, the parties may not be allowed to claim a judicial adjustment of the contract terms.
La pandemia da Covid-19 ha travolto l’economia dei contratti di locazione commerciale. Il commento ripercorre i rimedi proposti per gestire le sopravvenienze e promuovere la conservazione del rapporto contrattuale, inquadrandone il retroterra dottrinale e gli esiti giurisprudenziali. Da ultimo, si suggerisce un possibile impiego della clausola generale di buona fede per fondare un obbligo legale di rinegoziazione del contratto di locazione; si esclude, invece, la possibilità di addivenire ad una revisione del contratto amministrata dal giudice.
